Company Secretarial Services Officer
Job Description
Our client is seeking a Company Secretarial Services Officer to support the delivery of corporate secretarial services to a portfolio of client companies.
The successful candidate will work closely with the Company Secretarial Manager, manage statutory records and filings, prepare corporate documentation and support clients with company incorporations, governance matters and regulatory requirements. The role requires previous experience within a Corporate Service Provider environment and a good understanding of Maltese company law and MBR procedures.

Responsibilities:
As a Company Secretarial Services Officer, your broad responsibilities will include but are not limited to:
Assist with the incorporation, restructuring, striking off and liquidation of companies.
Prepare and submit statutory filings, annual returns, constitutional amendments, and other forms with the Malta Business Registry.
Draft board and shareholder resolutions, meeting minutes, agendas, notices and board packs.
Maintain statutory registers and accurate corporate records for client companies.
Coordinate board and shareholder meetings, including proxies, quorum requirements and supporting documentation.
Support clients with routine company secretarial and corporate governance matters.
Assist with client onboarding and the collection of KYC and AML documentation.
Monitor statutory deadlines and ensure filings are completed accurately and on time.
Liaise with clients, regulators, auditors and other external stakeholders.
Keep up to date with changes in Maltese company law, MFSA guidance and CSP regulations.
Requirements:
At least two years of company secretarial experience within a Corporate Service Provider.
Practical experience with company incorporations and Malta Business Registry filings.
Experience drafting board resolutions, shareholder resolutions and meeting minutes.
Good knowledge of Maltese company law, statutory requirements, and corporate governance procedures.
Experience maintaining statutory registers and corporate records.
Strong organisational skills with the ability to manage multiple deadlines.
Excellent written and verbal communication skills.
High level of accuracy, confidentiality and professional judgement.
